    Acceptance of Terms

    Welcome to ResellAIO ("we," "our," or "us"). These Terms of Service ("Terms") govern your use of our inventory management platform and related services (the "Service") operated by ResellAIO.

    By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.

    Important: These Terms include important information about future changes to the Terms, limitations of liability, a class action waiver, and resolution of disputes by arbitration instead of in court. Please also review our Privacy Policy and Cookie Policy.

    Service Description

    ResellAIO provides a comprehensive inventory management platform designed for resellers, including but not limited to:

    • Inventory tracking and management tools with market price tracking
    • Sales recording, refund management, and analytics
    • Expense management, recurring expenses, and profit calculations
    • Business insights, dashboards, and reporting
    • File upload and storage (receipts, images, CSV imports)
    • Integration with third-party OAuth services (Google, Discord, StockX)
    • Automated background processing (price updates, webhook events)
    • Real-time data synchronization across devices
    • Payment processing through Stripe
    • Data export and backup functionality
    • Multi-currency support
    • Subscription-based access with tiered feature sets

    Service Availability

    We strive to provide reliable, continuous access to our Service. However, we reserve the right to:

    • Modify, update, or enhance features at any time
    • Perform scheduled maintenance with advance notice when possible
    • Suspend or discontinue any part of the Service with reasonable notice to users
    • Introduce new features, which may be subject to additional terms or fees

    Beta Features

    From time to time, we may offer beta, experimental, or preview features ("Beta Features"). Beta Features:

    • Are provided "as is" without warranties or guarantees
    • May contain bugs, errors, or incomplete functionality
    • May be changed, discontinued, or not released to general availability
    • Should not be used for mission-critical business operations
    • May be subject to separate terms and conditions

    User Accounts and Registration

    Account Creation

    To access certain features of the Service, you must register for an account. You agree to:

    • Provide accurate, current, and complete information during registration
    • Maintain and promptly update your account information
    • Maintain the security of your password and account
    • Accept all risks of unauthorized access to your account and information

    Account Responsibilities

    • You are responsible for all activities that occur under your account
    • You must notify us immediately of any unauthorized use of your account
    • We are not liable for any loss or damage arising from unauthorized account use
    • One account per user; multiple accounts for the same individual are prohibited

    Age Requirements

    You must be at least 18 years old to use this Service. If you are between 13 and 18 years old, you may only use the Service with parental consent and supervision.

    Subscription and Payment Terms

    Subscription Plans and Tiers

    ResellAIO offers multiple subscription tiers with different features, limits, and pricing:

    • Free Tier: Limited inventory items (typically 50-100 items), basic features, community support
    • Pro Tier: Unlimited inventory items, advanced features (StockX integration, Discord Pro role, CSV import, advanced analytics), priority support
    • Custom/Enterprise: Custom solutions available on request with tailored pricing and features

    Current pricing and detailed plan features are available on our website. We may introduce new tiers or modify existing ones with advance notice.

    Free Trial Period

    • New users may be eligible for a free trial period (duration specified at signup)
    • Free trial provides access to Pro features without payment
    • You must provide valid payment information to start a free trial
    • You will be charged automatically when the trial ends unless you cancel before the trial period expires
    • Cancellation during trial takes effect immediately with no charge
    • Free trial eligibility limited to one per user (determined by email/payment method)
    • We reserve the right to modify or discontinue free trials at any time

    Payment Processing

    • All payments processed securely through Stripe (PCI DSS Level 1 certified)
    • We do not store your credit card information - handled directly by Stripe
    • You authorize us to charge your payment method for all subscription fees
    • Accepted payment methods: Credit cards, debit cards (as supported by Stripe)
    • Multi-currency support: Payments processed in USD, AUD, or other supported currencies
    • Exchange rates determined at time of transaction

    Billing Cycles and Renewals

    • Subscriptions billed on monthly or annual basis (as selected during signup)
    • Subscriptions automatically renew unless cancelled before renewal date
    • Renewal charges occur on the anniversary of your original subscription date
    • Billing cycle continues until you cancel your subscription
    • Price changes communicated at least 30 days before they take effect
    • Existing subscribers grandfathered into current pricing for 12 months after price increase

    Failed Payments

    • Failed payments may result in temporary account downgrade to Free tier
    • We will attempt to recharge failed payments up to 3 times over 7 days
    • Email notifications sent for each failed payment attempt
    • Update payment method in account settings to restore access
    • Prolonged payment failure (30+ days) may result in account suspension

    Upgrades and Downgrades

    • Upgrades: Take effect immediately; prorated charge for remaining billing period
    • Downgrades: Take effect at end of current billing period; no partial refunds
    • Downgrading to Free tier may require deleting inventory items exceeding Free tier limits
    • Feature locks apply immediately upon downgrade effective date
    • OAuth integrations (Discord, StockX) may be disconnected if no longer available in new tier

    Cancellation and Refunds

    • Cancel anytime through account settings or Stripe Customer Portal
    • Cancellation takes effect at end of current billing period
    • Access to Pro features maintained until end of paid period
    • No refunds for partial billing periods except as required by law
    • Free trial cancellations take effect immediately with no charge
    • Australian Consumer Law: Nothing in these Terms limits your rights under the Australian Consumer Law, including rights to refunds for major failures

    Taxes and Fees

    • All prices exclude applicable taxes unless stated otherwise
    • Australian customers: GST (Goods and Services Tax) added where applicable
    • International customers: Local taxes, VAT, or sales tax may apply
    • You are responsible for all taxes associated with your subscription
    • Payment processing fees included in subscription price

    Service Level Agreement (SLA)

    Uptime Guarantee

    We strive to maintain 99.9% uptime for our Service, measured monthly. Planned maintenance windows are excluded from uptime calculations and will be announced in advance when possible.

    Support Response Times

    • Critical Issues: 4-hour response time during business hours
    • General Support: 24-hour response time during business days
    • Feature Requests: 72-hour acknowledgment time

    Data Backup and Recovery

    • Automated daily backups of user data
    • 30-day backup retention period
    • Data recovery available upon request for technical failures
    • Users responsible for their own data export and secondary backups

    Acceptable Use Policy

    You agree not to use the Service to:

    Prohibited Activities

    • Violate any applicable laws, regulations, or third-party rights
    • Transmit any harmful, malicious, or offensive content
    • Upload malware, viruses, or malicious code in files
    • Upload illegal, obscene, or infringing content (see File Upload Terms)
    • Attempt to gain unauthorized access to our systems or other users' accounts
    • Reverse engineer, decompile, or attempt to extract our source code
    • Use automated scripts or bots to access the Service (except approved API usage)
    • Spam, harass, or send unsolicited communications through our platform
    • Share login credentials or OAuth tokens with others
    • Circumvent subscription limits or feature locks
    • Resell or redistribute our Service without authorization
    • Use the Service for illegal resale activities or money laundering

    OAuth Integration Misuse

    • Do not share OAuth access tokens with third parties
    • Do not use OAuth integrations to violate third-party terms (Discord, StockX, Google)
    • Do not automate OAuth-connected services beyond permitted usage
    • Do not attempt to scrape or harvest data from integrated APIs

    Rate Limits and Usage

    • API and feature usage subject to rate limiting (e.g., StockX price updates, file uploads)
    • Excessive usage may result in temporary throttling or account suspension
    • Commercial usage beyond subscription limits requires enterprise pricing
    • Free tier users subject to stricter rate limits and feature restrictions

    Consequences of Violations

    We reserve the right to investigate violations and take appropriate action, including warning, throttling, suspending, or terminating accounts, and cooperating with law enforcement when necessary. Serious violations may result in immediate account termination without refund.

    Third-Party OAuth Integrations

    Our Service offers optional integrations with third-party services via OAuth 2.0 authentication. By connecting these services, you agree to comply with both our Terms and the respective third party's terms of service.

    Google OAuth Integration

    • Used for: Account authentication and sign-in
    • Data accessed: Email, profile name, Google User ID
    • Subject to: Google Terms of Service and Google Privacy Policy
    • You may disconnect Google authentication from account settings
    • Disconnection does not delete your ResellAIO account unless Google is your only sign-in method

    Discord OAuth Integration

    • Used for: Authentication, automatic Pro role assignment in our Discord server
    • Data accessed: Discord User ID, username, discriminator, avatar, guild membership
    • OAuth scopes: identify, email, guilds.join
    • Subject to: Discord Terms of Service and Discord Privacy Policy
    • Pro subscribers automatically receive "Pro" role in our Discord server
    • Role removed automatically upon subscription cancellation or downgrade
    • You must follow Discord Community Guidelines and our Discord server rules
    • Discord account bans do not affect ResellAIO service access
    • Disconnect anytime from Settings; role will be removed

    StockX OAuth Integration

    • Used for: Product search, market price data, inventory valuation
    • Data accessed: Product details, market prices (lowest ask, highest bid), product images
    • Subject to: StockX Terms of Use and StockX Privacy Policy
    • Price data provided for informational purposes only - not guaranteed to be accurate
    • We are not responsible for StockX API availability, accuracy, or interruptions
    • Automated price refreshes require active StockX connection
    • May be subject to rate limits imposed by StockX
    • Disconnect anytime from Settings; linked product data retained but not updated
    • Pro tier required for StockX integration features

    OAuth General Terms

    • All OAuth integrations are optional and can be disconnected anytime
    • OAuth tokens stored encrypted and never shared with other parties
    • You are responsible for maintaining your third-party account security
    • We are not liable for third-party service interruptions or policy changes
    • Revoking our access at the third-party provider will disconnect the integration
    • Multiple sign-in methods can be linked to one ResellAIO account

    File Upload and Storage Terms

    Permitted File Uploads

    You may upload the following types of files to our Service:

    • Receipt Images: JPG, PNG, PDF (max 10MB per file) for expense tracking
    • Inventory Images: JPG, PNG (max 10MB per file) for product photos
    • CSV Files: CSV format for bulk inventory imports (processed in-browser, not permanently stored)

    File Upload Restrictions

    You agree NOT to upload:

    • Malware, viruses, or malicious code
    • Illegal, obscene, or offensive content
    • Files you don't have rights to upload
    • Personal information of others without consent
    • Copyrighted material without authorization
    • Files exceeding size limits (10MB per file)

    Storage and Access

    • Files stored securely in Supabase Storage with encryption at rest
    • Only you can access your uploaded files (enforced by Row Level Security)
    • Files retained until you delete them or close your account
    • We reserve the right to remove files that violate these Terms
    • Storage limits may apply based on subscription tier

    Your Responsibility

    • You are solely responsible for content you upload
    • Do not upload sensitive personal information (SSN, passwords, credit card numbers)
    • Maintain your own backups of important files
    • We are not liable for file loss, corruption, or unauthorized access resulting from your actions

    CSV Import Functionality

    • CSV files processed locally in your browser for privacy
    • Files are not uploaded to our servers - only the parsed data
    • Import creates individual inventory records from CSV rows
    • Maximum import size and row limits may apply
    • Invalid CSV data may result in import errors or skipped rows
    • You are responsible for data accuracy in CSV imports

    Automated Processing and Background Jobs

    Our Service uses automated systems to provide enhanced functionality and keep your data current. By using the Service, you consent to this automated processing.

    Background Price Updates (StockX)

    • Automatic market price refresh for StockX-linked inventory items
    • Runs when you're actively using the app (not when offline or logged out)
    • Updates lowest ask and highest bid prices for accurate valuations
    • Price accuracy depends on StockX API - we do not guarantee accuracy
    • Disable by disconnecting StockX integration in Settings
    • Requires Pro subscription and active StockX OAuth connection

    Webhook Processing

    • Stripe webhooks processed automatically for payment events, subscription changes
    • Webhook events logged for security and debugging (90-day retention)
    • Ensures real-time subscription status accuracy
    • Failed webhook processing may be retried automatically

    Real-Time Synchronization

    • Supabase Realtime provides live data updates across devices
    • Changes made on one device reflect immediately on other devices
    • Automatic session management and refresh for security
    • Requires active internet connection for real-time features

    Recurring Expense Automation

    • Automatic expense entry creation for recurring expenses you configure
    • You maintain full control: edit, delete, or stop recurring expenses anytime
    • System does not automatically charge you - only creates expense records

    Disclaimers

    • We do not use automated decision-making that significantly affects you
    • All automated processing is for service functionality, not profiling or marketing
    • You may opt out of optional automated features (e.g., StockX price updates)

    Data Export and Portability

    Your Right to Export Data

    You have the right to export your data from our Service at any time, in compliance with GDPR and other data protection regulations.

    Export Capabilities

    • Export inventory data to CSV format
    • Export sales records to CSV format
    • Export expense data to CSV format
    • Request complete account data export (JSON format) via support
    • Downloaded files include all your business data entered into the system

    Export Procedures

    • In-app exports (CSV) available immediately from each section
    • Complete data export requests: Contact support@resellaio.com
    • We will provide complete data within 30 days of request
    • Export includes all data we hold about you and your usage
    • Files provided in machine-readable formats for portability

    What's Included/Excluded

    • Included: Inventory, sales, expenses, refunds, user settings, preferences
    • Included: Uploaded files (receipts, images) provided separately as zip archive
    • Excluded: System logs, internal metadata, aggregated analytics
    • Excluded: Data from third-party APIs (StockX, Discord) - request directly from those providers

    Third-Party Service Dependencies and Disclaimers

    Our Service integrates with and depends on third-party services. We make no warranties regarding the availability, performance, or accuracy of these third-party services.

    Service Dependencies

    • Supabase: Database, authentication, storage infrastructure
    • Stripe: Payment processing and subscription management
    • StockX API: Product data and market pricing (optional)
    • Discord API: Authentication and role management (optional)
    • Google OAuth: Authentication services (optional)

    Service Interruptions

    • Third-party outages may temporarily affect Service functionality
    • We are not liable for disruptions caused by third-party providers
    • StockX API unavailability may prevent price updates (cached data remains available)
    • Discord API issues may prevent automatic role assignment
    • Stripe outages may prevent new subscriptions or payment processing

    Data Accuracy Disclaimers

    • StockX Market Prices: Provided for informational purposes only; not guaranteed to be accurate, current, or complete
    • Market prices subject to rapid change; our system updates periodically, not in real-time
    • We are not responsible for business decisions made based on StockX price data
    • Always verify current prices on StockX.com before making purchasing or selling decisions

    No Endorsement

    Integration with third-party services does not constitute endorsement. We are independent of StockX, Discord, Google, and other integrated services. Use of these services is subject to their respective terms and policies.

    Account Suspension, Appeals, and Reinstatement

    Suspension Grounds

    We may suspend your account for:

    • Violation of these Terms of Service
    • Suspicious or fraudulent activity
    • Failed payment or chargeback (see Chargeback Policy below)
    • Abuse of Service features or excessive resource usage
    • Illegal activity or law enforcement request
    • Multiple complaints from other users or third parties

    Suspension Procedures

    • Email notification sent to registered email address
    • Explanation of suspension reason provided when possible
    • Immediate suspension for security/fraud concerns without prior notice
    • Grace period (typically 7-14 days) for correctable violations

    During Suspension

    • Account access restricted; cannot log in or access data
    • Billing continues unless subscription cancelled
    • Data retained for up to 90 days during suspension
    • Permanent termination after 90 days if not resolved

    Appeals Process

    • Submit appeals to legal@resellaio.com within 30 days
    • Include account email and detailed explanation
    • We will review and respond within 10 business days
    • Decision is final; no further appeals accepted

    Reinstatement

    • Account reinstated if appeal approved or violation corrected
    • May require payment of outstanding fees or completion of verification
    • Repeat violations may result in permanent termination without appeal

    Chargeback and Payment Dispute Policy

    Contact Us First

    If you have a billing concern or wish to request a refund, please contact us at support@resellaio.com BEFORE initiating a chargeback with your bank. We are committed to resolving billing issues fairly and quickly.

    Chargeback Consequences

    • Immediate account suspension upon chargeback receipt
    • Access to Service and data blocked pending resolution
    • Chargeback fees ($15-25) added to account balance
    • Account termination if chargeback determined to be fraudulent

    Resolution Process

    • We will contest chargebacks with evidence of service delivery
    • If chargeback upheld: Account remains suspended, data deleted after 30 days
    • If chargeback reversed: Account reinstated upon payment of chargeback fees
    • Multiple chargebacks result in permanent account ban

    Legitimate Disputes

    If you have a legitimate billing error or unauthorized charge, we will work with you to resolve it. Valid reasons include duplicate charges, charges after cancellation, or unauthorized account access. Contact support@resellaio.com with documentation.

    Intellectual Property Rights

    Our Intellectual Property

    The Service and its original content, features, and functionality are and will remain the exclusive property of ResellAIO and its licensors. The Service is protected by copyright, trademark, and other laws.

    Your Content

    • You retain all rights to content you upload or create using our Service
    • You grant us a limited license to use your content to provide the Service
    • You are responsible for ensuring you have rights to any content you upload
    • We may remove content that violates these Terms or applicable laws

    License to Use Service

    We grant you a limited, non-exclusive, non-transferable license to use the Service for your personal or business purposes in accordance with these Terms.

    Third-Party Content

    The Service may contain content from third parties. We do not control or endorse such content and are not responsible for its accuracy or legality.

    Data Protection and Privacy

    Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information when you use our Service. By using the Service, you agree to the collection and use of information in accordance with our Privacy Policy. For information about cookies, see our Cookie Policy.

    Data Security

    • We implement industry-standard security measures to protect your data
    • Data is encrypted in transit and at rest using AES-256 encryption
    • Regular security assessments and monitoring are conducted
    • Access to user data is restricted to authorized personnel only

    Data Retention

    • We retain your data for as long as your account is active
    • Data may be retained for up to 3 years after account termination for legal compliance
    • You may request data deletion subject to legal and operational requirements
    • Some aggregated, anonymized data may be retained indefinitely for analytics

    International Data Transfers

    Your data may be transferred to and processed in countries other than your own. We ensure appropriate safeguards are in place for international data transfers.

    API Usage and Third-Party Integrations

    Our Service integrates with multiple third-party APIs and services. Your use of these integrations is subject to both our Terms and the respective third party's terms and policies.

    Google API Services

    • Used for OAuth authentication
    • Subject to: Google API Terms of Service
    • Subject to: Google Privacy Policy
    • We comply with Google's API Services User Data Policy, including Limited Use requirements
    • Our Privacy Policy explains how we handle Google user data

    Discord API

    • Used for OAuth authentication and Discord server role management
    • Subject to: Discord Developer Terms
    • Subject to: Discord Terms of Service
    • You must comply with Discord Community Guidelines
    • We use Discord's Bot API for automated role assignment

    StockX API

    • Used for product search and market price data
    • Subject to: StockX Terms of Use
    • Rate limits enforced by StockX API
    • Data accuracy not guaranteed - informational purposes only
    • We are not affiliated with or endorsed by StockX

    Stripe API

    • Used for payment processing and subscription management
    • Subject to: Stripe Services Agreement
    • PCI DSS compliant payment processing
    • Webhook events processed for real-time subscription updates

    API Rate Limits

    • Rate limits apply to prevent abuse and ensure service stability
    • StockX price updates: Limited by StockX API rate limits
    • File uploads: Limited to prevent storage abuse
    • CSV imports: Row limits may apply
    • Excessive usage may result in temporary throttling
    • Enterprise customers may request higher limits

    Third-Party Integration Disclaimers

    • We are not responsible for third-party service availability, performance, or policy changes
    • Third-party outages may affect integrated features
    • We may discontinue integrations if third-party terms become incompatible
    • Issues with third-party services should be reported to the respective provider
    • OAuth tokens may expire and require re-authorization

    Limitation of Liability

    IMPORTANT: Please read this section carefully as it limits our liability to you.

    General Limitations

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL RESELLAIO, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

    • Loss of profits, data, use, goodwill, or other intangible losses
    • Interruption of business or service
    • Computer damage or system failure
    • Cost of substitute products or services

    Maximum Liability

    Our total liability for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

    Service Disclaimers

    THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

    Indemnification

    You agree to defend, indemnify, and hold harmless ResellAIO and its affiliates, officers, directors, employees, and agents from and against any claims, damages, costs, and expenses (including attorneys' fees) arising from or related to:

    • Your use or misuse of the Service
    • Your violation of these Terms
    • Your violation of any rights of another party
    • Your content or data uploaded to the Service
    • Any negligent acts, omissions, or willful misconduct

    Termination

    Termination by You

    You may terminate your account at any time by following the cancellation process in your account settings or by contacting our support team.

    Termination by Us

    We may terminate or suspend your account immediately, without prior notice, for:

    • Violation of these Terms
    • Non-payment of fees
    • Suspected fraudulent or illegal activity
    • Prolonged inactivity (12+ months)
    • Discontinuation of the Service

    Effect of Termination

    • Your right to access the Service will cease immediately
    • Your data may be deleted after a reasonable grace period
    • Outstanding fees remain due and payable
    • Provisions that should survive termination will remain in effect

    Governing Law and Dispute Resolution

    Governing Law

    These Terms shall be governed and construed in accordance with the laws of the State of Victoria, Australia, without regard to its conflict of law provisions.

    Australian Consumer Law: Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (ACL) or any other applicable law that cannot be excluded, restricted, or modified by agreement. For Australian consumers, your rights under the ACL are not affected by these Terms.

    Jurisdiction

    You agree to submit to the exclusive jurisdiction of the courts of Victoria, Australia for resolution of any disputes arising from these Terms or the Service.

    Dispute Resolution

    Any disputes arising out of or relating to these Terms or the Service shall be resolved through:

    1. Informal Resolution: Contact us first at legal@resellaio.com to resolve the dispute informally (mandatory first step)
    2. Good Faith Negotiation: Both parties will attempt to resolve disputes in good faith for 30 days
    3. Mediation: If informal resolution fails, disputes may be subject to mediation
    4. Court Proceedings: Unresolved disputes may be brought to the appropriate court in Victoria
    5. Small Claims: Either party may bring individual actions in small claims court/tribunal

    Australian Consumer Guarantee Rights

    For consumers in Australia, our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled to:

    • Cancel your service contract with us; and
    • Obtain a refund for the unused portion, or to compensation for its reduced value

    You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If the failure does not amount to a major failure you are entitled to have problems with the service rectified in a reasonable time and, if this is not done, to cancel your contract and obtain a refund for the unused portion of the contract.

    Class Action Waiver

    To the extent permitted by law, you agree that disputes will be resolved individually, not as part of a class, consolidated, or representative action. However, this waiver does not apply where prohibited by applicable consumer protection laws.

    Changes to Terms

    We reserve the right to modify or replace these Terms at any time. If a revision is material, we will:

    • Provide at least 30 days notice prior to any new terms taking effect
    • Notify you via email or through the Service
    • Post updated Terms on our website with the effective date

    Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

    General Provisions

    Severability

    If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law.

    Waiver

    No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

    Assignment

    We may assign our rights and obligations under these Terms without your consent. You may not assign your rights under these Terms without our prior written consent.

    Entire Agreement
